These Terms of Service (“Terms”) govern access to and use of the Raizee platform, applications, APIs, infrastructure, AI systems, workflows, and related services (collectively, the “Services”). Raizee is operated by Kassiva USA LLC, a Wyoming limited liability company (“Company,” “Raizee,” “we,” “our,” or “us”).
Company Information
By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, do not use the Services.
1. Eligibility
You must:
- be at least 18 years old;
- possess authority to bind an organization if acting on its behalf;
- comply with applicable laws and regulations.
You may not use the Services if prohibited by law.
2. Description of Services
Raizee provides AI-powered fundraising workflow infrastructure including:
- investor discovery systems;

- outreach automation;
- fundraising pipeline management;
- engagement intelligence;
- hosted document analytics;
- AI-assisted operational systems;
- workflow automation infrastructure;
- investor intelligence systems.
Raizee is a software platform only. Raizee is not:
- a broker-dealer;
- investment adviser;
- securities intermediary;
- crowdfunding portal;
- investment bank;
- financial adviser;
- securities exchange.
Raizee does not:
- facilitate securities transactions;
- negotiate investments;
- provide investment advice;
- guarantee funding outcomes;
- guarantee investor engagement;
- recommend securities purchases or sales.
3. Account Registration
Users are responsible for:
- maintaining account confidentiality;
- safeguarding credentials;
- activities under their accounts;
- ensuring account accuracy.
We may suspend or terminate accounts for:
- policy violations;
- abusive behavior;
- fraudulent activity;
- security risks;
- unlawful conduct;
- payment issues.
4. Subscription Plans & Billing
Certain Services require paid subscriptions. Users authorize Raizee and its payment processors to:
- charge subscription fees;

Subscription plans may include:

- annual subscriptions;

- usage limitations.
Unless otherwise stated:
- subscriptions automatically renew;
- fees are non-refundable;
- cancellations apply prospectively.
Users remain responsible for applicable taxes.
5. Acceptable Use
Users agree not to:

- conduct fraudulent activity;
- infringe intellectual property rights;
- abuse outreach systems;
- distribute spam;
- misuse investor information;
- scrape or export platform data without authorization;
- reverse engineer the platform;
- interfere with platform integrity;
- bypass system protections;
- upload malicious software;
- impersonate others;
- exploit vulnerabilities;
- conduct unlawful securities solicitation.
6. Outreach Compliance & User Responsibility
Users are solely responsible for ensuring compliance with:
- CAN-SPAM laws;
- GDPR requirements;
- privacy regulations;
- communication disclosure laws;
- fundraising regulations;
- securities laws;
- outreach compliance obligations.
Users acknowledge that:
- outreach automation tools must be used lawfully;
- investor communications remain the user’s responsibility;
- Raizee does not control outbound communications created or approved by users.
7. AI Systems & Automation
Raizee utilizes AI-powered orchestration and automation systems. These systems may:
- generate content;
- automate workflows;
- recommend investors;
- prioritize outreach;
- analyze engagement;
- orchestrate fundraising workflows;
- infer operational signals;
- automate repetitive tasks.
Users acknowledge that:
- AI outputs may contain inaccuracies;
- outputs are probabilistic and generated algorithmically;
- human review remains necessary;
- AI-generated communications may require modification;
- users remain fully responsible for all actions and decisions.
Raizee may modify AI systems, orchestration logic, scoring systems, or automation flows at any time.
8. User Content
Users retain ownership of uploaded content. Users grant Raizee a limited worldwide license to:
- host;
- process;
- analyze;
- store;
- display;
- transmit;
- utilize content solely to operate and improve the Services.
Users represent that:
- they possess necessary rights to uploaded content;
- uploaded materials do not violate applicable laws;
- uploaded materials do not infringe third-party rights.
9. Investor Data & Platform Intelligence
Raizee may process investor-related information from:
- public sources;
- licensed datasets;
- integrations;
- user submissions;
- enrichment systems;
- operational analytics.
Users may not:
- resell investor data;
- export datasets unlawfully;
- misuse professional information;
- use the Services for unlawful solicitation or scraping.
10. Email Tracking & Document Analytics
Certain Services may include:
- tracking pixels;
- email engagement analytics;
- click tracking;
- document analytics;
- hosted viewer systems;
- page-by-page analytics;
- investor engagement scoring;
- interaction telemetry.
Users are solely responsible for lawful use of these features. Raizee disclaims liability arising from unlawful or improper use of engagement tracking functionality.
11. Integrations & Third-Party Services
The Services may integrate with:
- Google services;
- Microsoft services;
- Stripe;
- cloud providers;
- APIs;
- analytics vendors;
- email providers;
- third-party platforms.
Third-party services are governed by independent agreements and policies. Raizee is not responsible for third-party availability, performance, or conduct.
12. Beta & Experimental Features
Certain features may be designated as:
- beta;
- preview;
- experimental;
- early access.
These features may:
- contain bugs;
- change substantially;
- become unavailable;
- operate unreliably.
Use of beta functionality is at the user’s risk.
13. Platform Availability
We do not guarantee uninterrupted access. The Services may experience:
- maintenance;
- outages;
- downtime;
- interruptions;
- infrastructure failures;
- feature modifications.
We may modify, suspend, or discontinue portions of the Services at any time.
14. Intellectual Property
Except for user-owned content, all platform technology, systems, infrastructure, branding, workflows, interfaces, and software remain owned by Raizee and Kassiva USA LLC. Users may not:
- copy;
- distribute;
- sublicense;
- reproduce;
- reverse engineer;
- create derivative works from the Services without authorization.
15. Confidentiality
Users may not disclose:
- non-public platform systems;
- proprietary infrastructure;
- internal methodologies;
- security-sensitive information;
- operational architecture.
16. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAIZEE DISCLAIMS:
- WARRANTIES OF MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- ACCURACY OF OUTPUTS;
- FUNDRAISING SUCCESS;
- INVESTOR RESPONSES;
- AI OUTPUT RELIABILITY;
- CONTINUOUS AVAILABILITY.
Raizee does not guarantee:
- successful fundraising;
- investor engagement;
- investment outcomes;
- funding availability;
- operational continuity.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAIZEE SHALL NOT BE LIABLE FOR:
- INDIRECT DAMAGES;
- CONSEQUENTIAL DAMAGES;
- INCIDENTAL DAMAGES;
- LOST PROFITS;
- LOST DATA;
- BUSINESS INTERRUPTION;
- FUNDRAISING OUTCOMES;
- INVESTMENT LOSSES;
- REGULATORY ISSUES ARISING FROM USER CONDUCT.
RAIZEE’S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE USER TO RAIZEE DURING THE PRIOR TWELVE MONTHS.
18. Indemnification
Users agree to indemnify and hold harmless Raizee, Kassiva USA LLC, affiliates, officers, employees, and contractors from claims arising from:
- misuse of the Services;
- unlawful outreach;
- investor communications;
- fundraising activity;
- uploaded content;
- regulatory violations;
- breach of these Terms.
19. Suspension & Termination
We may suspend or terminate access if:
- Terms are violated;
- abuse occurs;
- security risks arise;
- unlawful activity is suspected;
- payment obligations remain unpaid.
Users may discontinue use of the Services at any time. Certain provisions survive termination.
20. International Use & Export Compliance
Users may not use the Services in violation of:
- U.S. export laws;
- sanctions laws;
- international trade restrictions.
Users remain responsible for compliance with local laws.
21. Governing Law
These Terms shall be governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law principles.
22. Dispute Resolution
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration to the maximum extent permitted by law. Users waive participation in class-action proceedings where permitted.
23. Changes to Terms
We may update these Terms periodically. Updated Terms become effective upon posting. Continued use of the Services constitutes acceptance of revised Terms.
24. Entire Agreement
These Terms constitute the complete agreement between users and Raizee regarding the Services.
